By accessing and using Maghni AI (the “Software”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not access or use the Software. Crescendia, LLC, reserves the right to amend these Terms at any time. Continued use of the Software following such changes constitutes your acceptance of the new Terms.

1. Restrictions on Output Use

Maghni AI grants you a limited, non-exclusive, non-transferable license to use its software for personal and non-commercial purposes. Any audio outputs generated by Maghni AI may not be used within other vocal synthesizer software, voice changers, or similar third-party applications.

• Prohibited Uses: You agree not to use, distribute, or transfer the generated outputs in other software environments that alter, manipulate, or transform the outputs into another form.
• Consequences Violation of this clause will result in immediate termination of your account and revocation of your right to use the Software, without refund or further notice.

2. Periodic Connection Requirement.

To maintain access to the Software, you are required to connect the Software to the internet at least once every twenty-eight (28) days for authentication purposes. Failure to do so will result in disconnection from the service.

• Disconnection: If you are unable to log in within the required period, your access will be temporarily suspended. You must reconnect to the internet and log in again to reactivate the Software..

3. Account Integrity and No Sharing.

Your account is personal to you. Account credentials, including usernames and passwords, may not be shared, sold, or transferred to others. Each user must create and maintain their own account.

• No Shared Use: You agree not to allow any third party to access your account under any circumstances.
• Security: You are responsible for safeguarding your password and for all activities conducted through your account. If you suspect unauthorized access, you must notify Crescendia, immediately.

4. Attribution of Vocals

Maghni AI-generated vocals must be properly credited to the respective voice library as provided within the Software. Failure to provide proper attribution, or attributing vocals to other names, pseudonyms, or entities without express permission, is a violation of these Terms.

• Attribution Guidelines: Voice libraries within Maghni AI are subject to copyright and usage agreements. You are required to follow the attribution instructions provided with each voice library.
• Consequences for Misattribution: Violating attribution guidelines may result in suspension or termination of your license to use the Software.

5. Device Limitations.

A single user account is allowed to connect to a maximum of two (2) devices at any one time. Device swaps or additional connections beyond this limit will require deactivation of one of the existing devices.

• Device Management: You can manage connected devices via your account settings.
• Enforcement: Crescendia, reserves the right to limit or disable your account if unauthorized devices are detected.

6. Deauthentication and Misuse.

Crescendia, reserves the right to deauthenticate any device connected to Maghni AI at any time, for any reason, if there is suspicion of misuse, including but not limited to: unauthorized use, breach of these Terms, or activity that negatively impacts the integrity of the Software or its community.

• Right to Investigate: Crescendia, retains the right to investigate any activity and take necessary actions, including suspending or deactivating accounts without prior notice.
• Misuse Defined: Misuse includes any behavior deemed harmful to the Software, its users, or the brand, including attempts to exploit, reverse engineer, or bypass technical safeguards.

7. Server Closure or Update Provisions.

In the event of server shutdown, discontinuation, or major updates to the Software infrastructure, Crescendia, will provide an update to the Software, enabling offline functionality for all users who maintain active licenses.

• Advance Notice: Users will receive reasonable notice before any major server closures or transitions that could affect access to the Software.
• Offline Support: The offline version of the Software will enable you to continue using previously acquired voice libraries, but may not include features that require online access.

8. Prohibited Use for Inflammatory Purposes.

You are strictly prohibited from using the audio outputs of Maghni AI for inflammatory, illegal, or harmful purposes, including but not limited to: spreading hate speech, harassment, defamation, or any other forms of misconduct.

• Enforcement: Any use of the Software or its outputs in violation of this clause will result in immediate termination of access, and you may be reported to the relevant authorities where applicable.

9. Respect for Voice Providers.

Maghni AI partners with a variety of voice providers who supply the voice libraries available for use. You are prohibited from using the Software in a manner that discredits, disparages, or harms the reputation of these voice providers.

• Misrepresentation Prohibited: You agree not to falsely represent or modify the outputs in such a way that it reflects negatively on the voice providers or creators.

10. Finality of Sales.

All sales made on Maghni AI are final and non-refundable, except where required by law. By completing a purchase, you acknowledge and agree that you will not receive a refund under any circumstances.

• Dispute Resolution: In the event of technical issues or billing errors, Crescendia, will work with users to resolve legitimate claims, but the final decision rests with Crescendia.

11. Discounts and Promotional Offers.

Any discounts or promotional offers provided for the purchase of voice libraries or other services within Maghni AI are subject to change or termination at any time, without notice.

• Limited Availability: Promotional offers may be limited in time or quantity and are not guaranteed beyond the specific period or conditions listed at the time of offer.

12. Product Availability.

Products (such as voice libraries or additional software features) available for purchase through Maghni AI may be added, removed, or altered at the discretion of Crescendia, without prior notice.

• No Removal of Purchased Products: Any products you purchase will remain in your account and will not be removed, even if they are no longer offered for sale to new users.

13. Termination and Account Suspension.

Crescendia, reserves the right to terminate or suspend your account and access to Maghni AI at any time if you are found in violation of these Terms. You may also request account termination at any time by contacting support.

In the event that your account is terminated or suspended and you believe this action was taken in error, or if you may have accidentally broken ToS, you may contact Crescendia,. We will review your case, and while we make no guarantees, we may, at our sole discretion, reinstate your account if we determine the situation warrants it.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Davidson County, Tennessee, United States of America, without regard to its conflict of law provisions.
